Welcome to the website of AUCNET America, LLC (“Aucnet America,” “we,” “us”). These Terms of Service (“Terms”) govern your access to and use of aucnetamerica.com (the “Site”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. About the Site; Membership Is Separate
The Site provides information about our services and allows you to apply for membership. Access to our auctions, wholesale inventory, and member portal is governed by a separate Service Participation Master Agreement and its Terms and Conditions (the “Membership Agreement”), which you will receive and accept during the application process. If there is any conflict between these Terms and the Membership Agreement with respect to member services, the Membership Agreement controls.
2. Eligibility
The Site and our services are intended for businesses. By applying for membership, you represent that you are acting on behalf of a business, not as a consumer.
3. Intellectual Property
All content on the Site — including text, photographs, graphics, logos, design, and data — is the property of Aucnet America or its parent company, AUCNET INC., or is used with permission. You may not reproduce, distribute, modify, create derivative works of, publicly display, scrape, or otherwise re-use any Site content for commercial purposes without our express written permission.
All third-party trademarks, trade names, product names, and brand names appearing on the Site are the property of their respective owners and are used solely for identification purposes. Their use does not imply sponsorship, endorsement, or affiliation with Aucnet America.
4. Acceptable Use
You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of the Site or member systems; (c) use automated means to access or collect data from the Site; (d) interfere with the Site’s operation; or (e) submit false or misleading information in any application or form.
5. Applications and Communications
Submitting a membership application does not guarantee approval. We review each application at our discretion. By submitting an application or contact form, you consent to receive communications from us regarding your application and our services at the contact details you provide.
6. Disclaimer of Warranties
The Site is provided “as is” and “as available” without warranties of any kind, express, implied, or statutory, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. We also do not warrant the accuracy, completeness, reliability, timeliness, or availability of any information contained on the Site.
7. Limitation of Liability
To the fullest extent permitted by law, Aucnet America and AUCNET INC. will not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or relating to your use of the Site. Our aggregate liability for any claim relating to the Site is limited to one hundred US dollars ($100).
8. Dispute Resolution; Governing Law; Class Action Waiver
These Terms are governed by the laws of the State of California without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site shall be resolved by binding arbitration in Los Angeles, California, before one arbitrator, administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. Judgment on the award may be entered in any court of competent jurisdiction.
All claims must be brought in a party’s individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
9. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
10. Severability
If any provision is held unenforceable, the remaining provisions remain in effect.
